Vendor Agreement

This Vendor Agreement is between you (the "Vendor") and 1 Five Star LLC ("FlawdaScene") and applies in addition to the Terms of Service and Privacy Policy. By starting a subscription, you accept this Agreement.

1. Subscription tiers

Vendors subscribe at one of three tiers — Basic ($29/mo), Spotlight ($59/mo), or Pro ($99/mo) — each with the features listed on the For Business page at the time of purchase. Pricing and feature sets may change with 30 days' notice; existing subscribers keep their current pricing for at least one full renewal cycle after any change.

2. Free trial

Every new Vendor account starts with a 30-day free trial of the chosen tier. A payment method must be on file via Stripe to start the trial. You will not be charged during the trial. At the end of the trial, you are automatically charged for the first monthly period unless you cancel from your dashboard or through the Stripe billing portal.

3. Billing, renewal, and cancellation

After the trial, your card is charged monthly in advance until you cancel. You can cancel anytime — cancellation stops future renewals at the end of the current paid period. We do not provide refunds for partial months. Failed payments may pause your listings until resolved; persistent failure may result in account closure.

4. Add-ons

Optional add-ons include Boosted Post ($25 one-time, 7-day boost) and Featured Business of the Week ($150/week). Add-ons are non-refundable once activated. Pro-tier ticket sales carry a 5% commission on each ticket sold through FlawdaScene, in addition to standard Stripe processing fees.

5. Content rights and license

You retain ownership of all content you upload. You grant FlawdaScene a worldwide, royalty-free, non-exclusive license to display and promote that content within the Service, on the FlawdaScene YouTube channel, in our weekly email blast, and on our social channels — solely to operate and market the Service. The license terminates when you delete the content or when your account is closed, except that aggregated, anonymized analytics may be retained.

6. Vendor obligations

You agree that:

  • You have the legal authority to organize and promote the events you list.
  • Your listings are accurate, current, and not misleading.
  • You will honor pricing, dates, and venue details as published, or update them promptly when they change.
  • You comply with all licensing, tax, alcohol, food-safety, age, accessibility, and other laws applicable to your event.
  • You hold any required permits and insurance for events you publish.

7. Refunds and disputes for Attendees

Refund and chargeback policies for ticket purchases are set by you, the Vendor. Disputes between you and an Attendee about admission, quality, or refunds are between you and the Attendee. FlawdaScene is not a party to those transactions and is not responsible for their resolution.

8. AI tools and outreach

Pro-tier subscribers can use our AI description generator. Generated copy is a starting point; you are responsible for reviewing and ensuring accuracy before publishing. Vendors who opt into the Featured Business newsletter agree that their event content may appear in our outreach emails to subscribers.

9. Termination

You may close your account anytime from the dashboard. We may suspend or terminate accounts for breach of these terms, fraud, abuse, or non-payment. On termination, your listings are removed within 7 days; aggregated analytics and required billing records are retained per our Privacy Policy.

10. No liability for missed bookings

FlawdaScene cannot guarantee a specific volume of views, ticket sales, or attendees from any listing or boost. Performance varies by event quality, timing, market, and promotion. Marketing claims (e.g., "180k monthly attendees") describe platform-wide totals, not guaranteed reach for any individual listing.

11. Limitation of liability

In addition to the limitation of liability in the Terms of Service, FlawdaScene's total liability to you under this Agreement shall not exceed the amount you paid us in the three months immediately preceding the claim.
